SEIS advance assurance

SEIS advance assurance is a non-binding HMRC letter confirming a UK company appears to qualify for the Seed Enterprise Investment Scheme, used by founders to de-risk angel-investor due diligence.

SEIS advance assurance is a letter from HMRC stating that, based on the information the company provided, the proposed SEIS share issue appears to qualify. Most UK SEIS-eligible angels filter incoming deals by "advance assurance obtained" so the company can demonstrate the tax relief is likely to hold post-investment.

Application is via the SEIS/EIS Compliance team at HMRC, typically with: business plan, financial projections, articles of association, accounts (if any), and details of the company's qualifying trade. Decision in 4-8 weeks.
